(TSXV: SPZ) (" SuperBuzz " or the " Company "), is pleased to announce that, further to its press release of November 26, 2024, it has closed the first tranche of its non-brokered private placement financing of special warrants of the Company (each, a " Special Warrant") at a price of $0.16 per Special Warrant for gross proceeds of up to $750,000 (the " Offering "). Pursuant to the first tranche of the Offering, the Company issued an aggregate of 2,800,000 Special Warrants for gross proceeds of $448,000. Each Special Warrant shall be automatically exchanged for units of the Company (each, a " Unit ") upon satisfaction of the following conditions: (i) receipt of shareholder approval with respect to the Consolidation (as defined below); (ii) completion of the Consolidation; and (iii) receipt of all corporate and regulatory approvals, including the approval of the TSX Venture Exchange (" TSXV "), for the Offering and the Consolidation (collectively, the " Exercise Conditions "). Each Unit issued upon satisfaction of the Exercise Conditions shall consist of one common share in the capital of the Company (each, a " Common Share ") and one Common Share purchase warrant of the Company (each, a " Warrant "). Each Warrant shall entitle the holder to purchase one Common Share for a period of 24 months from the initial closing date of the Offering (the " Closing Date ") at the following exercise prices: (i) $0.22 per Common Share if exercised within the first 12 months from the Closing Date; and (ii) $0.28 per Common Share if exercised during the subsequent 12-month period. The Company shall use its reasonable best efforts to satisfy the Exercise Conditions on or before the date that is six (6) months following the Closing Date (the " Special Warrant Expiry Time "). In the event that the Exercise Conditions are not satisfied on or before the Special Warrant Expiry Time, the Special Warrants shall be automatically exchanged for promissory notes of the Company (the " Notes "), in the principal amount that is equal to each subscriber's subscription amount. The Notes shall be immediately payable and shall accrue interest at a rate of 18% per annum, calculated on a daily basis. The net proceeds of the Offering will be used for marketing and advertising the Company's core platform to potential end customers, sales initiatives, working capital and for general corporate purposes. As previously announced, the Company intends to consolidate (the " Consolidation ") its issued and outstanding Common Shares on the basis of four (4) pre-consolidation Common Shares for one (1) post-consolidation Common Share. The Company's shareholders approved the Consolidation at the Company's annual general and special meeting held on December 10, 2024. The completion of the Consolidation remains subject to receipt of all necessary approvals, including shareholder approval and the approval of the TSXV. Additionally, the Company announces that it has entered into a debt conversion agreement (the " Debt Conversion Agreement ") with Yoel Yogev, to settle an aggregate of $150,000 (the " Debt ") of debt. Pursuant to the Debt Conversion Agreement, the Company has agreed to issue, and the Creditor has agreed to accept, an aggregate of 937,500 post-Consolidation Common Shares (the " Debt Shares ") in full and final settlement of the Debt, with such Debt Shares being issued at a deemed issue price of 0.16 per Debt Share. The transactions contemplated by the Debt Conversion Agreement constitutes a "related party transaction" within the meaning of TSX Venture Exchange Policy 5.9 and Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transaction (" MI 61-101 ") because Mr. Yogev is a director of the Company. The Company is relying on exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, as the fair market value of the Debt Shares does not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101. The Offering and the Debt Settlement remains subject to the Company obtaining all necessary corporate and regulatory approvals, including the approval of the TSX Venture Exchange (" TSXV "). Look at the fantastic black-and-white photo courtesy of the Museum and Archives of Vernon. Look closely. Photos of family framed, hanging on the wall, some level, some askew. The Christmas tree in the corner, clearly a live tree with a star on top, minimal lights and the always-present tinsel at the time. Christmas cards were regularly hung from string going wall to wall, and you can see Mr. Hurmuces received at least 19 cards that year. And the food. My word, the food. The drink. Something for every palate in this pic. Hurmuces was the co-owner of the highly successful National Cafe, in the old National Hotel, according to his niece, Gayle, who lives on Vancouver Island and who pays tribute to her uncle on her website, Eatinscanada.com. Hurmuces owned the cafe with another Vernon legend, Nick Alexis, as well as Tom (Curly) Pulos and Gus Haros from 1935-1963. Curly’s daughter Evinia (Pulos) Bruce wrote a letter to The Morning Star in 2004 explaining how the National Cafe had a chocolate factory in the back and a soda fountain up front, where such concoctions as the Graveyard Milkshakes ( a mix of every available flavour) and the Three Men In A Tub original sundaes were created and dished out. The National Cafe, said Bruce, was the “largest and most known restaurant in the block (2900-30th Avenue) all during the Second World War due to the thousands of soldiers training at the army camp on Mission Hill.” On Dec. 9, 2021, the highly popular Facebook page Vintage Vernon ran the exact same photo, courtesy of the museum. Gayle commented that her uncle Jeff was her best friend when she was a little girl. The same photo hangs in her home, she said. And a man named Ronald Smith commented that “Jeff was a real gentleman, and was always very kind and polite with my mother and me.” Smith also mentioned that he worked for Capitol Taxi as a kid and had many interactions with Curly Pulos.
Celtic opened up a gap at the top of the Premiership for the first time this season, as they took full advantage of Aberdeen’s slip up at St Mirren earlier in the day to go three points clear with a stunning second half display to defeat Hearts in the capital. Much to the mirth of their supporters, the victory at Tynecastle also opened up an 11-point gap to struggling city rivals Rangers. After a hard-fought first half in which Hearts looked the more dangerous side, Kyogo Furuhashi ruthlessly took advantage of an error from Daniel Oyegoke to put Celtic ahead, before man of the moment Nicolas Kuhn smashed home a quickfire second to extinguish any hopes of a Hearts comeback. Adam Idah came off the bench to grab a third, and hammer home the point that this Celtic side are not only now clear at the top of the table, but clear of any domestic opposition once they click into gear. Musa Drammeh pulled one back for Hearts late on, but Jorge Grant’s trip on James Forrest allowed Idah to put the icing on the cake with his second from the penalty spot. Here are the talking points from Tynecastle... Catch them if you can Aberdeen’s start to the season has been hugely impressive, and Jimmy Thelin and his men deserve huge credit for what they have achieved to date. But the challenge of keeping pace with this Celtic squad was always going to be a big ask. The champions weren’t at their best here or even anywhere close to it, but they still ran out comfortable winners in the end. King Kuhn reigns supreme For all that Celtic were given their initial foothold in this game by a Hearts slip up, Kuhn had always looked the likeliest player in green and white to come up with something during what was, collectively, an uncharacteristically sloppy first half. And it was no surprise that it was the winger who slammed home the crucial second goal after he worked a devastating counterattack with Daizen Maeda. As he latched onto the return ball from the Japanese and strode into the area, there was never any doubt about the outcome, and he duly delivered a thumping left foot finish that was past Craig Gordon and into the back of the Hearts net before the veteran keeper could move a muscle. It was his 11th goal of the season to date and 21st goal involvement all told, a tally at this point you would have got long odds on predicting at the end of last term. The transformation in the 24-year-old has been remarkable, and he shows no signs of letting up after another impressive display. Hearts shoot themselves in the foot after impressive first half Neil Critchley must have been tearing his hair out that his gameplan, which had worked so well in the opening 45 minutes, was undone by a moment of slackness from one of his own men. It appeared that Oyegoke had done the hard part as he read and cut out Greg Taylor’s attempted ball inside him for Maeda, but as he tried to clear his lines, his lazy swing of the left leg succeeded only in sending the ball off the midriff of Callum McGregor and squirting through to Kyogo, who forced the ball home despite the best efforts of Gordon. When Kuhn cracked home the second on the counter soon after, it was game over, but there was so much to encourage Critchley from what had come before. For all that Celtic had more of the ball than the hosts, it was clear that Hearts were quite happy to allow them to pass it around in deeper areas of the pitch. But when the hosts pressed, they did so as a unit, and they unsettled Celtic to such an extent that even the normally unflappable McGregor was coughing up possession. They can take great heart from so much of what they did here and how they tested Celtic, but ultimately, the champions came up with an emphatic answer. And ultimately, Hearts are still only saved the ignominy of being bottom of the table by the ongoing shambles on the other side of Edinburgh. Concern over Arne Engels? The Belgian is still young, and it is clear that he is a wonderfully gifted, highly technical footballer. But it has also been clear for a while now that he is struggling to influence games for Celtic as they might hope an £11m signing would. He had some nice touches here and there and showed the odd flash of his ability with a couple of searching balls in behind the Hearts defence, but that was about the sum of it really. He will of course be given some grace and some time to settle into Scottish football and to get to grips with what Rodgers expects from him in his system, but the likes of Paulo Bernardo and Luke McCowan would be entitled to feel that his contributions of late don’t merit him keeping them on the bench for much longer. Bernardo in fact made a telling contribution when he did get on, squaring for Idah to get Celtic’s third, and Engels will know he needs to do more. Lawrence Shankland’s woes continue As his refreshingly candid comments during the week confirmed, the Hearts captain is all too aware that he has fallen below his previous high standards this season, and it was a familiar tale for the striker here. Again, there was much to admire about his performance. Celtic centre back Auston Trusty knew he was in a game alright, with Shankland able to pin him on several occasions as the ball was tossed up in his direction, allowing him to bring his teammates into play. An example of that early in the game almost brought the opener, as some lovely link up play with Blair Spittal eventually saw Shankland tee up his teammate with a sight of goal, but with the ball at an awkward height he couldn’t force it past Kasper Schmeichel. Sadly for Shankland though, it was his old predatory instinct in from of goal that was again conspicuous by its absence, as he sclaffed a James Penrice cutback wide of goal from around 12 yards soon after. There was no pressure on him at all, save for the pressure he appears to be placing upon his own shoulders to rediscover his goalscoring touch.A Virginia zoo is celebrating the arrival of an adorable newborn pygmy hippo who made her debut just before Christmas. The baby hippo, a girl who has not yet been named, was born to parents Iris and Corwin at Metro Richmond Zoo on Dec. 9. She's their third female calf in under five years. The zoo said Iris was all smiles on Christmas morning. "Most people don't get a hippopotamus for Christmas at all, so we feel lucky to have received two over the years," the zoo said. Iris and Corwin's previous calf was born on Dec. 6, 2022. Iris delivered her latest newborn after a seven-month gestation, zoo officials said. She gave birth in an indoor pool. "The baby's natural instincts kicked in and she started moving around in the water immediately," the zoo said on its website. The mom and newborn are currently being kept in an enclosure that is not on exhibit to give them privacy while they bond. "Iris is an experienced mother and very protective of her calf," the zoo said. "The calf is nursing and growing quickly." The new pygmy hippo was weighed when she was 5 days old and came in at a healthy 15 pounds, the zoo said. She could grow to weigh up to 600 pounds. Her birth will help preserve the species, which is endangered. Fewer than 2,500 mature pygmy hippos remain in the wild, according to the zoo. The species is native to the swamps and rivers of West Africa, where it's threatened by poaching and loss of habitat. Pygmy hippos do not live in groups, so after they grew up, Iris' two previous calves were moved to other zoological facilities "to live with future mates and continue contributing to the conservation of their species," the zoo said. The species is nocturnal, and the zoo says they can live up to 55 years. Earlier this year, a newborn baby hippo in Thailand named Moo Deng became a global sensation when a zookeeper started sharing her cutest moments on social media. And publicists from the Paramount Network, where “Yellowstone” airs, did not respond to questions about Galt’s role in inspiring John Dutton. “I’ve never talked to anybody from the ‘Yellowstone’ show or anybody that had anything to do with it,” Galt said. “One of the big reasons I wanted to work for Bill to do the research for ‘The Cowboy Way’ was that the ranch – both the ground and the family – represents a straight line through the history of Montana ranching,” McCumber said, “and I think that’s a lot of what ‘Yellowstone’ wanted to capture as well.” Like his fictional alter ego, Galt has made no secret of his desire to protect his big piece of Big Sky Country, even from the stray angler trying to fish on his property. And he has made his case, like Dutton, on television. In a 2016 episode of Anthony Bourdain’s show “Parts Unknown,” Galt and McCumber debated Montana’s 1985 stream-access law, which grants fishermen a right to use streams on private property, so long as they get where they are going within that stream’s high-water mark. Galt called that practice “thievery” back then. Nowadays, he begrudgingly accepts it. “Well, you know, stream access is a law, and we abide by it,” Galt said. “And I guess we’ll learn to live with it.” But there’s another form of encroachment on his land from sportsmen he’s less willing to look past: illegal hunting. “We have county roads running through each of the ranches,” Galt said. “So sometimes they just can’t resist themselves, and they shoot one off the county road.” And as Montana’s human population has grown, so has its elk population, especially on large tracts of private land like the Galt ranch. In hunting season, he said, his land has been “plagued” by such illegal shoots, even though he allows hunters onto his land through the state’s block-management program. For Galt, it all falls under a plainspoken philosophy, one you can almost hear coming out of Kevin Costner’s mouth: “I just think private land’s private land, and you should be able to do what’s legal on it. Put it that way.” While no one has yet proposed a subdivision or a golf course on the land around his 90,000-acre spread — a scenario from the hit television show — Galt doesn’t necessarily think there would be anything wrong with it if they decided to do so. “If they’re just selling to the highest bidder,” Galt said, “I think that’s the American way.” He said such development can sometimes be about preserving ranching, not pushing it out, by acting as a financial “parachute” for people looking to “keep their ranch running.” “I know a lot of ranches that have literally been saved by being able to carve off a piece of ground, whether it’s to sell to a neighbor or for development that actually saved their ranch from going broke,” Galt said. But Galt said “that’s just about impossible anymore. You know, they’re so heavily restricted.” In what’s been viewed as a landmark case as the state tries to balance demand for development with laws that protect land and water, Galt’s brother Errol Galt was on the losing end of a recent District Court order that stopped his plans to build 39 homes and two commercial properties on 442 acres of land on the east side of the Canyon Ferry Reservoir. Bill Galt said he has “never tried to do any of that kind of development on my ranch. So I understand my brother has issues with it, although, amazingly, we don’t talk much about it. When we’re talking, it’s about ranching stuff.” And there’s lots to talk about. Recent drought has shrunk the size of Montana’s cattle herd. That means ranchers have less livestock to sell, but it has also meant they can get a higher price from the feed lots that buy the yearlings they produce. And as Montana’s population has grown — partly due to the popularity of “Yellowstone” itself — so has the demand for land, hemming in some ranchers who rely on the state’s wide open spaces to give their cattle a place to roam. Like the character he seemingly inspired, Galt has been on his land long enough to feel the forces of change swirling all around his ranch as new neighbors move in and bring with them new ways of doing things. “I’m surrounded by what we call the non-resident ranchers,” Galt said. While “every one of them does run some cattle and tries to make them look like a ranch” and “most of them do a pretty good job,” Galt said the fact that his neighbors aren’t making a living off the land is a sign of a broader shift. It’s a shift that ranchers and brokers from across the state say they are seeing too, as wealthy buyers, often from out of state, purchase agricultural properties for prices that cattle production can’t possibly pay for. “All the ranching they do won’t pay the interest on that ranch that they bought for that $1,500-an-acre price,” Galt said. While his business is focused on raising black Angus cattle and quarterhorses, Galt has embraced the use of new technologies to do the traditional job of cowboying. “The basics of ranching I don’t think have changed much,” Galt said. “We still raise calves that we make into yearlings. But the mechanization is what has really changed. We used to go, when we were weaning, we would have a crew of maybe 16 riders down to now we do it with four just because of mechanization, because of the helicopter and four-wheelers and better hand machinery. We’ve become way more efficient as time goes on.” McCumber said his interest in Galt had to do with this approach that combines old-fashioned and modern approaches. “There was a mix of old and new in everything – fencing, feeding, gathering, range management, predator control, irrigating, haying, you name it,” McCumber said. “Things like big irrigation pivots, swathers and balers, artificial insemination, and the helicopter are modern ways. But lots of things don’t change. One of those is helping your neighbors. All of that seems to show up in ‘Yellowstone,’ and that authenticity is what makes the show as enduring as it has proved to be.” Though he acknowledged “Yellowstone” undoubtedly takes liberties with reality, Galt said he’s a devoted viewer of a show that deals with real issues that ranchers like him face, including everything from how to resist “the encroachment on ranches by the big money people” to how to handle estate taxes. “There’s parts of it that are absolutely correct,” Galt said of the show. “Yellowstone” has closed its run, with the seemingly Galt-inspired character killed off after Costner quit the show. Or was supposedly killed off. “I guess I’m not real sure he’s dead,” Galt said. “Just watching it, it seems to be there’s some doubt.”
TAMPA, Fla. (AP) — This isn’t a week when coach Todd Bowles feels he needs to find the right words to ensure his Tampa Bay Buccaneers are motivated to face the last-place Carolina Panthers. The missing teenager who vanished in waters off NSW’s Central Coast on Christmas Eve has been identified as 15-year-old Luca Bennett. The teenager was playing with two other friends on rocks at North Avoca Beach when they were swept into the water just before 3pm on Tuesday. Two of the teens managed to get to shore safely however Bennett did not, with his friends alerting nearby lifeguards. A multi-agency search for the teenager commenced with the help of the Brisbane Water Police District, Marine Area Command, NSW Ambulance, Surf Life Saving NSW, Marine Rescue NSW and the Westpac Rescue Helicopter. The search resumed on Christmas Day, with emergency services crews seen searching near rocks and in the water on jet skis. The NSW Police Airwing was also seen circling the area. Congress MLA from Kerala's Thrikkakara, Uma Thomas, is under critical care treatment for injuies to head and spine after falling from a gallery at the Jawaharlal Nehru International Stadium in Kochi on Sunday evening. The severely bleeding MLA was rushed to a private hospital near the stadium by volunteers and others. According to a medical bulletin issued by the hospital, cited in a news agency PTI report, injuries were found on the head and the spinal cord. Due to the fractures sustained on the face and ribs, there is internal bleeding in the lungs. Hospital authorities said the condition of the MLA, who has been placed on ventilator support, is still under critical care treatment, PTI reported. "She has sustained a head injury and multiple fractures. She needs to be monitored for the next 24 hours. We are providing all the medical help," Kerala Leader of Opposition VD Satheesan told ANI on Sunday night. "At the beginning, we thought it was a grave situation," he added. Visuals of the incident that surfaced on social media showed people at the venue lifting an unconscious Uma Thomas and rushing her to a hospital. What happened? Uma Thomas had arrived at the stadium to attend the Mridanga Naadam, Bharatanatyam Programme which was scheduled to be inaugurated by the Kerala Culture Affairs Minister Saji Cherian.
